These terms ("Terms") govern access to and use of the platform provided by Repio Joint Stock Company ("Repio", "we"). By registering for or using the service, customers acknowledge that they have read, understood, and agreed to the entire content of these Terms. If you do not agree, please do not use the service.
1. Service Description
Repio provides an artificial intelligence software platform to help businesses automate customer care, manage multi-channel conversations (Facebook Messenger, Zalo, WhatsApp), and analyze operational efficiency. Services may include automated response generation features powered by artificial intelligence.
2. Target Users
The Repio platform serves two main groups of users. The first group is enterprise customers, organizations, clinics, or businesses registering to use the platform. Enterprise customers are responsible for ensuring platform use complies with applicable laws. The second group is system users, personnel of enterprise customers granted access rights. Enterprise customers are responsible for managing and monitoring the activities of system users.
3. Accounts and Security
Customers are responsible for providing accurate information during registration, securing their accounts and passwords, managing internal access rights (including revoking access when personnel leave), and notifying Repio immediately of any unauthorized access.
Repio is not liable for any risks arising from insecure account management by the customer.
4. Rules of Use
Customers commit to using the service legally and appropriately. Specifically, customers must not violate relevant Vietnamese and international laws, send spam, fraudulent, harassing, or harmful content to end-users, interfere with, sabotage, or create abnormal loads on the system, use the platform to collect personal data illegally, or copy, distribute, or reproduce any part of the platform.
Customers are responsible for the instruction content, scripts, and data they proactively input into the platform. Content must conform to good morals and customs, and must not contain offensive information, incite violence, discriminate, or violate the law. Specifically, content must not contain false professional claims, baseless service outcome commitments, or information that could mislead end-users. Repio reserves the right to suspend or terminate accounts without a refund if it discovers customers intentionally inputting violating content into the system. This responsibility does not apply to cases where the artificial intelligence system generates content that deviates from customer instructions, which is Repio's responsibility under Section 7.
5. Intellectual Property Rights
Repio owns all intellectual property rights to the platform, including source code, designs, algorithms, documentation, and trademarks. Use of the platform does not transfer any intellectual property rights to the customer.
Enterprise customers retain full ownership of the data, content, and materials they input into the system. Customers grant Repio the right to use this content to the extent necessary to provide the service.
Customers agree that Repio has the right to use the customer's name, logo, and public information for building customer lists, creating case studies, marketing materials, and communications. If a customer prefers not to be mentioned, they may notify hello@repio.io in writing, and Repio will remove it within a reasonable time.
6. Data
Customers own their data. Repio processes data to provide services as requested by the customer, in compliance with the Personal Data Protection Law 2025 (Law No. 91/2025/QH15) and Decree 356/2025/ND-CP.
Conversation content is stored for operational purposes. Customers are responsible for the content inputted into the system and for obtaining consent from end-users before data is processed through the platform. Customers have the right to request data export or deletion in accordance with the Privacy Policy.
7. Artificial Intelligence and Automation
Repio uses artificial intelligence to generate automated responses. Customers must understand that AI-generated content may not be entirely accurate, does not completely replace humans, and response quality depends on the data and configuration provided by the customer.
The platform provides tools for customers to review and edit content before sending, establish response rules and limits, and manually intervene when necessary. Customers are responsible for using these tools, especially in situations related to health, treatment, or professional advice.
For sectors with professional requirements such as medical, dental, or aesthetic fields, artificial intelligence does not provide diagnoses or prescribe treatments. AI-generated content does not replace consultation from a licensed professional. All decisions related to health or professional matters must be made by individuals with relevant expertise and practicing licenses. Enterprise customers are responsible for ensuring end-users clearly understand that content from the system is not official professional advice.
Responsibilities related to artificial intelligence content are divided as follows:
- Repio's Responsibility: Repio is responsible for ensuring the AI system operates as designed, faithfully processes customer instruction content, and maintains the technical quality of the platform. In cases where the system generates content deviating from provided instructions (e.g., AI hallucination or ignoring established rules), Repio will coordinate with the customer to resolve the issue.
- Customer's Responsibility: Customers are responsible for the accuracy and legality of the instruction content, data, and information they input into the system. If the AI responds exactly according to instructions, but the instruction content contains false, incomplete, or non-compliant information, the responsibility lies with the customer. Customers commit to verifying content before sending it to end-users and ensuring content aligns with industry regulations and applicable laws.
Details regarding the scope of responsibility, incident handling procedures, and compensation levels (if any) will be specified in the service contract between Repio and each customer.
8. Third-Party Providers
Repio's services use third-party artificial intelligence models and cloud infrastructure providers to process and generate content. Conversation content may be sent to these systems to generate responses. Repio only sends data necessary to provide the service, and customer data is not used to train the providers' generalized AI models.
Repio may integrate with Facebook Messenger, Zalo, and WhatsApp. Customers are responsible for complying with the policies and terms of use of these platforms, ensuring that using the Repio platform does not violate third-party platform regulations, and obtaining necessary consent from end-users as required by each platform. Repio is not responsible for errors, interruptions, or policy changes from third-party platforms.
9. Service Fees
Certain features require payment via subscription plans. Fees are defined in the contract or on the website at the time of subscription. The billing cycle begins on the subscription date.
Repio will provide at least 30 days' notice before applying price changes. The new price will apply from the next billing cycle following the notice. If customers do not agree with the new price, they have the right to cancel the service before the new cycle begins. Unless otherwise agreed in writing, fees already paid for the current cycle are non-refundable.
10. Service Availability
Repio strives to maintain stable and continuous services. However, Repio does not commit to a specific uptime percentage at this time. Services may be interrupted due to maintenance, upgrades, or technical issues. Repio will provide advance notice for planned maintenance when possible and strive to resolve unplanned issues as quickly as possible.
11. Suspension and Termination
Repio reserves the right to suspend or limit services if customers violate these Terms, if customer activities pose a risk to the system or other users, or upon request from competent authorities. Repio will notify the reason for suspension as soon as possible, except in emergencies.
Repio reserves the right to terminate accounts with 15 days' notice in cases of serious Terms violations, failure to pay service fees after 2 reminders, or using the service for illegal purposes.
Customers have the right to cancel the service at any time by sending an email notice to hello@repio.io or canceling via the administration interface (when available). Cancellation takes effect at the end of the current billing cycle.
After service termination, Repio will retain data for the time necessary to allow customers to request data export. After the retention period, data will be deleted or anonymized, unless there is a legal obligation to retain it. Details regarding the retention period are specified in the Privacy Policy.
12. Limitation of Liability
Services are provided "as is" and "as available". To the extent permitted by law, Repio is not liable for indirect, consequential, or punitive damages, data loss or service interruptions, third-party errors, interruptions or changes, nor for business, professional, or medical decisions based on system content.
Repio's total liability (if any) shall not exceed the total service fees paid by the customer in the past 12 months.
13. Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, war, pandemics, international telecommunications infrastructure incidents, or prohibitions from competent state agencies. The affected party must notify the other party as soon as possible and make efforts to mitigate consequences to resume performance.
14. Legal Compliance
Both parties commit to complying with Vietnamese law, including but not limited to the Personal Data Protection Law 2025 (Law No. 91/2025/QH15) and Decree 356/2025/ND-CP, Artificial Intelligence Law 2025 (Law No. 134/2025/QH15), Cybersecurity Law 2025 (Law No. 116/2025/QH15), Consumer Protection Law 2023 (Law No. 19/2023/QH15), and related industry regulations.
Enterprise customers are responsible for obtaining valid consent from end-users before personal data is processed through the platform, ensuring content inputted into the system complies with legal and industry regulations, and conducting personal data processing impact assessments when necessary as required by law.
15. Dispute Resolution
Disputes arising will be prioritized for resolution through direct negotiation between the two parties within 30 days from when one party provides written notice. If negotiation fails, the dispute will be brought to the competent Court in Hanoi for resolution.
16. Changes to Services and Terms
Repio may update or change service features as well as the content of these Terms. For significant changes, we will send an email notification or display a notice on the platform at least 15 days before the effective date. Continued use of the service after the notice period indicates customer acceptance of the new Terms. The current version is always available at repio.io/dieu-khoan-su-dung.
17. Applicable Law
These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.
18. General Provisions
If any provision of this document is determined to be invalid, the remaining provisions shall continue in full force and effect. Repio's failure to enforce a provision at any time does not constitute a waiver of the right to enforce that provision in the future. These Terms constitute the entire agreement between the customer and Repio regarding the use of the service.
This document may be provided in both Vietnamese and English. In the event of any inconsistency or conflict between the two versions, the Vietnamese version shall prevail.
